AGREEMENT TO TERMS 1.1 Acceptance By accessing or using Mixify.Studio ("Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. 1.2 Modifications We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. 1.3 Additional Terms Certain features of the Service may be subject to additional terms and conditions, which will be presented to you before you use such features. 2. SERVICE DESCRIPTION 2.1 Audio Mastering Services Mixify.Studio provides audio mastering and enhancement services, including but not limited to: - Loudness normalization (EBU R128 compliant) - Voice enhancement (ClearerVoice-Studio) - Audio restoration (FFmpeg-based filters) - Professional EQ controls - Dynamic range optimization - True peak limiting 2.2 Service Availability We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. The Service is provided "as is" and may be modified, suspended or discontinued at any time. 2.3 Beta Features Some features may be designated as "beta" or "experimental." These features are provided without warranty and may not function as expected. 2.4 Maintenance Windows and Service Credits From time to time, we perform scheduled or emergency maintenance to deploy updates, security improvements and infrastructure changes. We aim to keep any maintenance window as short as reasonably possible and to minimize user impact. You acknowledge and agree that temporary service interruptions or reduced availability caused by such maintenance do not create any entitlement to subscription-time extensions, billing credits, refunds or other compensation, unless explicitly required by applicable law. 3. ACCOUNT REGISTRATION AND SECURITY 3.1 Account Creation To use certain features of the Service, you must register for an account by providing: - Valid email address - Secure password - Acceptance of these Terms and our Privacy Policy You may also register using third-party authentication services (Google). 3.2 Account Responsibilities You are responsible for: - Maintaining the confidentiality of your account credentials - All activities that occur under your account - Notifying us immediately of any unauthorized use - Ensuring your account information is accurate and up-to-date - NOT sharing your account with others or allowing multiple users to access a single account IMPORTANT: Account sharing is strictly prohibited. Each account is for individual use only. Sharing accounts, credentials or subscription benefits with others is a violation of these Terms and may result in immediate account termination without refund. 3.3 Account Termination We reserve the right to suspend or terminate your account if: - You violate these Terms - You engage in fraudulent or illegal activity - You abuse the Service or other users - Your account remains inactive for an extended period You may terminate your account at any time through the account settings. 4. USER CONTENT AND LICENSE 4.1 Your Content You retain all rights to audio files and other content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive, worldwide license to: - Process and master your audio files - Store files temporarily for service delivery - Display processed files to you 4.2 Content Restrictions You may not upload content that: - Infringes copyrights or other intellectual property rights - Contains malware, viruses or harmful code - Violates any applicable laws or regulations - Contains illegal, offensive or inappropriate material - Violates the rights or privacy of others 4.3 Content Deletion All uploaded audio files are automatically and permanently deleted within 20 minutes of processing completion. We do not retain copies of your audio files beyond this period. 4.4 Responsibility You are solely responsible for Your Content and any consequences of uploading it. We do not monitor uploaded content but reserve the right to remove content that violates these Terms. 5. PAYMENT TERMS AND PRICING 5.1 Service Plans The Service offers both free and paid plans: - Free Plan: Limited credits and features - Subscription Plans: Monthly or annual subscriptions with unlimited or enhanced features - Credit Packs: One-time purchase of processing credits 5.2 Pricing Current pricing is displayed on our website and within the Service. We reserve the right to change pricing with at least 30 days' notice to existing subscribers. 5.3 Payment Processing Payments are processed securely through Stripe. We do not store your credit card information. By providing payment information, you authorize us to charge the applicable fees. 5.4 Subscriptions - Subscriptions automatically renew at the end of each billing period - You may cancel your subscription at any time through account settings - Cancellations take effect at the end of the current billing period - No refunds for partial billing periods - Subscription benefits remain active until the end of the paid period 5.5 Credits - Credits are non-transferable and non-refundable - Credits do not expire while your account is active - Free credits may expire after a specified period - Credit usage is tracked and displayed in your account 5.6 Refund Policy (Digital Service) By purchasing credits or subscriptions, you acknowledge that Mixify.Studio provides immediate digital services and digital content processing. - Credits, processed outputs and consumed subscription benefits are non-refundable once used. - If processing starts or audio has been rendered successfully, the related service is considered consumed. - Optional goodwill refunds (if any) are granted solely at our discretion and do not establish entitlement for future refunds. - Any approved refund is limited to the original payment amount and excludes third-party fees, currency conversion losses and bank/payment-provider charges. - Refund requests must be submitted in writing to [email protected] within 14 days of purchase and must include sufficient transaction details. Refunds are NOT provided for: - Rendered/processed audio or partially consumed digital services - Change of mind, creative preference or subjective dissatisfaction after use - Missed cancellation windows or renewals already billed - Promotional, bonus, trial or complimentary credits - Accounts terminated for Terms violations, fraud, abuse or payment risk - Chargebacks/payment disputes initiated without first contacting support 5.7 Payment Disputes, Chargebacks and Abuse Prevention To reduce fraud and abuse, you agree that: - You will first contact [email protected] before opening a payment dispute. - We may temporarily suspend account access during active chargeback investigations. - If a chargeback is filed without valid legal basis and we prevail, we may recover direct costs/fees to the extent permitted by law and restrict further purchases. - Repeated abusive disputes may result in permanent account termination and refusal of future service. 5.8 Taxes All prices are exclusive of applicable taxes. You are responsible for all taxes, duties and governmental fees. 6. INTELLECTUAL PROPERTY RIGHTS 6.1 Service Ownership The Service, including all software, algorithms, designs, text, graphics and other content (excluding Your Content), is owned by us and protected by copyright, trademark and other intellectual property laws. 6.2 Trademarks "Mixify.Studio" and associated logos are our trademarks. You may not use our trademarks without prior written permission. 6.3 Limited License We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose, subject to these Terms. 6.4 Restrictions You may not: - Copy, modify or create derivative works of the Service - Reverse engineer, decompile or disassemble the Service - Remove copyright or proprietary notices - Use the Service to develop competing products - Access the Service through automated means (bots, scrapers) without permission - Attempt to gain unauthorized access to the Service or its systems 7. PROHIBITED CONDUCT You agree not to: - Use the Service for illegal purposes - Impersonate others or provide false information - Harass, threaten or harm others - Distribute spam or unsolicited communications - Upload malicious code or attempt to hack the Service - Interfere with the Service's operation or other users' access - Violate any applicable laws or regulations - Circumvent security features or access restrictions - Scrape or collect data from the Service without permission - Use the Service in a way that could damage or overload our systems - Share your account credentials or allow others to use your account - Use automated tools, bots or exploits to access or manipulate the Service - Engage in fraudulent payment activities, including chargebacks without valid reason - Attempt to reverse engineer, decompile or extract source code from the Service 8. PROCESSING DISCLAIMER 8.1 Audio Quality Processing results depend on input quality. We cannot guarantee specific outcomes for all audio files. 8.2 Processing Errors In rare cases, processing may fail or produce unexpected results. We are not liable for processing failures or unsatisfactory results. 9. DATA PROTECTION AND PRIVACY 9.1 Privacy Policy Our Privacy Policy explains how we collect, use and protect your personal data. By using the Service, you also agree to our Privacy Policy. 9.2 GDPR Compliance For users in the EU/EEA, we comply with the General Data Protection Regulation (GDPR).
